Terms and Conditions of Service
1. Parties
These terms govern the contractual relationship between Dhalinta Digital Solutions, with address at Somalia ("Dhalinta AI Automation" or "the Provider") and the individual or legal entity using or contracting the service ("Customer"). By creating an account or using the platform, the Customer accepts these terms.
2. Technology provider of the platform
The Provider supplies the service on a platform provided by Muse Layer LLC, technology provider of the platform and sub-processor, which is not a party to this contract and does not provide the service to the Customer. The contract for the service is always with Dhalinta Digital Solutions.
3. Service description
Dhalinta AI Automation is a multitenant SaaS platform for creating, managing and deploying AI conversational agents across channels such as WhatsApp, Instagram, Messenger, Telegram, email, voice, webchat and customer-owned websites.
4. User account
The Customer must provide accurate registration information, keep credentials confidential and promptly report any unauthorised access. Activity performed through the Customer account is the Customer's responsibility.
5. Pricing, billing and payments
- Applicable plans and prices are published on the website or inside the platform at the time of contracting. Changes are notified at least 30 days in advance.
- Payments are processed in advance through Stripe unless otherwise agreed.
- Invoices are issued electronically by Dhalinta Digital Solutions.
- Non-payment may lead to suspension after a reasonable grace period.
- No refunds apply for unused partial periods unless required by law.
6. User obligations and acceptable use
The Customer must not use the service for illegal activity, fraud, spam, unsolicited communications, infringement of third-party rights, abusive or illegal content, unauthorised access attempts, reverse engineering or circumvention of usage limits.
Knowledge base content. The knowledge base lets the Customer point to web addresses or upload documents so that their AI agents can consult them. The Customer is solely responsible for that content and warrants that they have the right to use it and for Dhalinta Digital Solutions to process it on their behalf; they must not include personal data of third parties or special categories of data (GDPR art. 9) unless it is essential and they have a legal basis and have informed the data subjects, nor unlawful content or content infringing third-party rights. Dhalinta Digital Solutions acts as a data processor, processes that content only so that the Customer's agent can consult it, does not review or validate it and is not responsible for its accuracy or lawfulness. The Customer shall hold Dhalinta Digital Solutions harmless against third-party claims and penalties arising from content that breaches this clause, and Dhalinta Digital Solutions may suspend or delete a source on reasonable grounds of unlawfulness or risk to third parties or to the platform. Deleting a source or a knowledge base removes its passages and vectors.
7. Intellectual property
The software, interface, documentation and technical materials of the platform are owned by the Provider or its licensors, and the Dhalinta AI Automation brand by the Provider. Customer data, prompts, contents and conversations remain owned by the Customer. The Customer grants the Provider a limited licence to process such content solely to provide the service.
8. Personal data processing
The data of the Customer's account and billing is processed by Dhalinta Digital Solutions as controller, as described in the Privacy Policy. Where the Customer processes third-party data through the platform, the Customer is the controller and Dhalinta Digital Solutions the processor, under the Data Processing Agreement (DPA), which forms part of these terms.
9. Third-party channels and integrations
The Customer is responsible for complying with the terms and policies of the channels it connects (including Meta Platforms, Telegram, telephony providers and calendar systems). Webhooks, automations (for example n8n or Make), APIs, CRMs and other external destinations are chosen and configured by the Customer, who is responsible for them and for the data it sends there. The Provider may limit or suspend a destination for security or legal reasons, as set out in the DPA, and is not liable for the service or processing of those third parties.
10. Availability and maintenance
The Provider will use reasonable efforts to maintain high service availability but does not guarantee uninterrupted operation. Scheduled maintenance will be announced when reasonably possible.
11. Limitation of liability
To the maximum extent permitted by applicable law, the Provider's aggregate liability for claims arising from the service is limited to the amounts paid by the Customer during the 12 months preceding the event giving rise to the claim. This limitation does not apply to wilful misconduct or gross negligence, nor where mandatory law prohibits it.
12. Suspension and termination
The Provider may suspend or terminate accounts in case of serious or repeated breach, with notice where reasonably possible. The Customer may cancel the subscription from the account settings or by contacting support. On termination, the Customer may export its data before deletion as set out in the DPA.
13. Changes
These terms may be updated. Material changes will be notified by email at least 30 days in advance. Continued use after the effective date implies acceptance of the new version; if the Customer does not accept it, it may cancel before that date.
14. Governing law and venue
These terms are governed by Spanish law, without prejudice to mandatory consumer protection rules applicable in the Customer's country of residence. Disputes involving consumers will be submitted to the courts of the consumer's domicile; in all other cases, to the courts of the Provider's registered office.
